Terms of Service

§1 Scope of Application

These Terms of Service govern all business relationships between GPUnex and any individual or entity accessing or using the services, whether as a GPU Renter, GPU Provider, or Package Buyer.

By registering on the platform or using any services, you accept these Terms in their entirety. Any deviating, conflicting, or supplementary terms only become part of the contract if GPUnex has expressly agreed to their validity in writing.

These Terms apply to both consumers and entrepreneurs, unless a specific provision is expressly addressed to only one group.

§2 Platform Description

GPUnex operates a GPU compute marketplace connecting three participant types:

  • Renters — individuals or organizations that rent GPU compute resources for artificial intelligence, machine learning, and other high-performance computing workloads.
  • Providers — individuals or organizations that list their GPU hardware on the marketplace for rental by others.
  • Package Buyers — individuals who purchase GPU infrastructure packages to participate in the economic output of the marketplace.

GPUnex acts as an intermediary platform facilitating connections between Renters and Providers, and offering GPU packages linked to GPU infrastructure utilization. GPUnex does not own or operate the GPU hardware listed by Providers.

§3 Registration and User Account

Registration is required to use GPUnex services. During registration, the User must provide truthful and complete information and keep this information up to date.

Each User may only maintain one account. Creating or operating multiple accounts is strictly prohibited and will result in immediate termination of all associated accounts and forfeiture of any balances. The User is responsible for maintaining login credential confidentiality and all activities occurring under their account. Users must notify GPUnex immediately of any unauthorized account use.

GPUnex reserves the right to refuse registration or suspend or close existing accounts at its own discretion if there is reasonable suspicion of misuse, false information provision, or Terms violation.

Users must be at least 18 years of age to register. By registering, the User confirms meeting this age requirement.

§4 GPU Rental Services (Renters)

The following terms apply to Users who rent GPU compute resources through the Platform:

  • GPU rentals are billed per second of active usage. Pricing is displayed at deployment time and may vary by GPU model, region, and availability.
  • Renters deploy workloads via Docker containers with SSH access. The Renter is solely responsible for deployed workload content, legality, and security.
  • Renters must not use the Platform for any illegal activity, including but not limited to cryptomining without disclosure, malware distribution, unauthorized third-party system access, or data processing in violation of applicable data protection laws.
  • The Renter is responsible for backing up their own data. GPUnex is not liable for data loss resulting from container termination, hardware failure, or any other cause.

GPUnex does not guarantee uninterrupted availability of any specific GPU. While striving for high availability, rentals may be subject to interruption due to hardware failures, Provider actions, or maintenance. Renters will only be charged for actual compute time delivered.

§5 GPU Hosting Services (Providers)

The following terms apply to Users who list GPU hardware on the Platform:

  • Providers must install the GPUnex agent software, which benchmarks GPU performance and facilitates workload deployment. The agent runs automated benchmarks to verify hardware specifications.
  • Providers set their own pricing and availability schedules. GPUnex retains a platform fee of 15–25% of rental revenue; the remainder is credited to the Provider.
  • Provider earnings are paid out weekly in USDC. Payouts are subject to a minimum threshold and applicable network fees.
  • Providers are responsible for maintaining their hardware in good working order and ensuring adequate power, cooling, and network connectivity. Repeated downtime or performance degradation may result in reduced marketplace visibility or listing removal.
  • Providers must ensure their hardware and hosting environment comply with all applicable local laws and regulations, including energy, noise, and zoning requirements.

GPUnex does not guarantee any minimum rental demand or earnings for Providers. Revenue depends on market demand, pricing competitiveness, and hardware reliability.

§6 GPU Packages

GPUnex offers GPU packages representing participation in GPU computing infrastructure. Users can purchase predefined packages with fixed terms and durations. Returns accrue at a fixed hourly rate and are calculated and credited upon claim by the User.

The specific terms, projected return rates, and conditions for each package are displayed on the Platform at purchase time. GPUnex reserves the right to modify, add, or discontinue packages at any time. Existing purchased packages remain subject to terms in effect at purchase time.

GPU packages carry inherent risk, including possible loss of capital. Returns are not guaranteed and depend on market conditions. Past performance is not indicative of future results.

§7 Payment Terms

The following payment terms apply to all GPUnex platform transactions:

  • All payments are processed in USDC (USD Coin) on the Solana blockchain.
  • Users must deposit USDC into their GPUnex account before using paid services. Package purchases require the full amount at purchase time.
  • Withdrawal requests are typically processed within 24 hours. GPUnex reserves the right to delay withdrawals for security verification or compliance purposes.
  • GPUnex may charge network transaction fees for blockchain transfers. Applicable fees are displayed before confirmation.

§8 Affiliate Program

GPUnex offers a multi-tier affiliate program. Registered users can earn commissions by referring new users who purchase packages on the platform. The commission structure is:

  • 2.5% — Level 1 Direct Referrals
  • 1.0% — Level 2 Second-tier Referrals
  • 0.5% — Level 3 Third-tier Referrals

Referral attribution follows a first-touch model: only the first referral link a user clicks is recorded. Subsequent referral links from other affiliates do not overwrite existing attribution.

The referral cookie is valid for 30 days from the date the user first clicks the referral link. If the user does not register within this period, the referral attribution expires and no commission will be awarded.

Commissions are calculated based on the package amount of the referred user and are credited to the referring user's account upon purchase confirmation. Self-referrals (referring your own accounts or accounts you control) are strictly prohibited. Affiliate program abuse, including self-referrals, fraudulent referrals, or any commission manipulation form, will result in commission forfeiture and immediate account termination.

§9 Prohibited Conduct

Users must not:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to the Platform, other user accounts, or connected systems.
  • Reverse-engineer, decompile, or disassemble any part of the Platform or its agent software.
  • Submit false, misleading, or fraudulent information, including falsified GPU specifications or identity information.
  • Interfere with or disrupt the Platform's infrastructure, security mechanisms, or other users' service use.
  • Use the Platform to process, store, or transmit content infringing on any third party's intellectual property rights.

Violation of this section may result in immediate account suspension or termination, balance forfeiture, and referral to law enforcement authorities where appropriate.

§10 Intellectual Property

All intellectual property rights in the Platform, including but not limited to software, design, trademarks, logos, and documentation, are owned by GPUnex or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.

Users retain ownership of any data or content they upload or process through the Platform. By using the Platform, Providers grant GPUnex a limited license to display their GPU listing information on the marketplace.

§11 Liability and Disclaimers

GPUnex shall be liable without limitation for damages arising from injury to life, body, or health based on negligent or intentional breach of duty.

For other damages, GPUnex shall only be liable in cases of intentional misconduct or gross negligence, or in cases of essential contractual obligation breach. In the case of slightly negligent essential obligation breach, liability shall be limited to foreseeable, contract-typical damages.

GPUnex does not warrant uninterrupted or error-free Platform operation. Scheduled maintenance, hardware failures, network issues, or force majeure events may cause temporary service interruptions.

GPUnex assumes no liability for package performance. Returns depend on market conditions and are not guaranteed. The User bears the full risk.

GPUnex is not liable for losses arising from Provider hardware failures, Renter rented resource misuse, or any third-party actions outside our reasonable control.

§12 Right of Withdrawal

If you are a consumer within the European Union, you have a statutory right to withdraw from the contract within 14 days without giving any reason.

The withdrawal period is 14 days from the contract conclusion date. To exercise your withdrawal right, you must inform GPUnex of your decision by means of a clear statement (e.g., an email) to:

To meet the withdrawal deadline, it is sufficient for you to send withdrawal right exercise communication before the withdrawal period has expired.

If you withdraw from this contract, GPUnex shall reimburse all payments received from you without undue delay and at the latest within 14 days from the day on which withdrawal notification is received.

Please note that if you have explicitly requested that a rental service begin during the withdrawal period, you may be required to pay for the service provided up to the withdrawal point.

§13 Termination

The User may terminate their account at any time by contacting GPUnex support or using the account deletion function on the Platform.

Active packages will continue to run until their scheduled end date, regardless of account termination. Active GPU rentals will be terminated upon account closure, and the Renter will be charged for compute time used. Provider listings will be removed from the marketplace upon account closure.

Any remaining balance and accrued earnings will be made available for withdrawal after all active services have concluded, subject to applicable withdrawal terms.

GPUnex reserves the right to terminate user accounts with immediate effect for good cause, particularly in the event of Terms violation, suspected fraud, or compliance with regulatory requirements.

§14 Changes to Terms

GPUnex reserves the right to amend these Terms at any time. Users will be notified of changes at least 30 days before the new terms take effect, by email or through a Platform notification.

If the User does not object to the new Terms within the 30-day notice period, the amended Terms shall be deemed accepted. GPUnex will specifically inform the User of the 30-day period significance, the right to object, and inaction consequences in the notification.

§15 Final Provisions

The laws of the European Union and applicable national laws shall govern these Terms. Consumer protection rights under applicable EU directives remain unaffected.

Should individual Terms provisions be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. Invalid or unenforceable provisions shall be replaced by provisions that come closest to the invalid provision's economic purpose.

The original language of these Terms is English. In the event of any conflict between translations, the English version shall prevail.
